1. Exness, through its trading entities namely, Exness (SC) Ltd, a company
   registered in Seychelles with registration number 8423606-1, Exness
   (VG) Ltd, a company registered in the British Virgin Islands with
   registration number 2032226, Exness B.V., a company registered in
   Curaçao with registration number 148698, Exness (KE) Limited, a
   company registered in the Republic of Kenya with registration number
   PVT-LRUDJJB, and Exness Bank Limited, a company registered in Labuan
   with company number LL17593, Forexite Ltd, a company registered in
   Belize with registration number 000022129 offers a Partner Loyalty
   Program (the “Program”) which is a loyalty program offered by the
   Company to the Partners (hereinafter “Partner(s)” or “You”). For the
   avoidance of doubt, the relevant Exness counterparty in the Partnership
   Agreement is your counterparty for the present Terms and Conditions.
    
2. Please read these Terms and Conditions and ensure you understand prize qualification requirements and prize issue terms.
    
3. By participating in the Program, you agree to be bound by the present
   Terms and Conditions as well as the Client Agreement, Partnership
   Agreement, General Business Terms and any other legal documents
   that are available on our website(s)1

4. Without prejudice to any other provision of the present Terms and Conditions, to be eligible for a prize, the Partner must meet the following three (3) prize qualification requirements identified below:
   
   a. The total qualifying lifetime trading volume of the Partner’s clients must meet the specified target;
   b. The number of the Partner’s active clients within the past 90 days must satisfy the required threshold. A client is considered "active"
   if they have executed at least one trading transaction within the last 90 days;
   c. The cumulative qualifying trading volume of the Partner’s clients over the past 12 months must be at least the required percentage of their qualifying lifetime trading volume.

   For the avoidance of doubt, the qualifying trading volume is calculated for each client signed up by the Partner since the Partner's registration date, taking into account the bonus coefficient* (where applicable) and excluding trading volume derived from error, fraud, or any doubtful
   operations.

   In the case that any clients of the Partner trade with a bonus, the bonus
   coefficient is calculated as follows:

   Bonus coefficient = (Equity – Client’s current credit/bonus) / Equity
   *This will only apply to positions opened and/or closed from 01.04.2021
   onwards.

5. The prize thresholds may be different for each Partner, which may be
   found in the Partner’s personal area on exnessaffiliates.com.
    
6. Without prejudice to any other right granted to Exness under these Terms and Conditions, Exness reserves the right to disqualify a Partner from the Loyalty Program for any of the following reasons:
   a. If the Partner violates any laws and/or applicable regulations;
   b. If the Partner violates any provision of the Client Agreement and/or the Partnership Agreement and/or these Terms and Conditions.
    
7. Notwithstanding the Partner’s fulfilment of all applicable qualification requirements, Exness reserves the right to withhold and/or cancel any prize based on the assessment criteria, including but not limited to those set forth in Clauses 5.7 and 5.8 together with all subclauses, conditions, and stipulations thereunder as applicable of the Partnership Agreement entered into between the Partner and the relevant Exness trading entity.
    
8. Without prejudice to paragraph 11 below, Partner Loyalty Program prizes will start being processed within one to two (1-2) weeks from the date of a Partner’s qualification for the aforesaid prizes. Eligible Partners who have fulfilled all qualification requirements for receiving a prize shall be contacted by the relevant Exness Account Manager to discuss further details about issuing the prize.
    
9. Upon contact, the Partner will be asked to select the prize (if more than one prize option is available). Details on how to claim the prize and information regarding the delivery of the prize will be provided directly to the eligible Partner.
    
10. If the Partner cannot be contacted or does not respond within twenty-eight (28) days, the prize will be cancelled.
     
11. If the Partner qualifies for multiple prizes at the same time, the Partner’s prize will be issued one at a time at periods that shall be discussed between the Partner and the relevant Exness Account Manager. By accepting the prize, the Partner automatically provides his consent and grants permission to Exness to use the Partner’s photo image, name, contact details, and details of the prize for Exness' marketing objectives. Refusal of the Partner to participate in any marketing/promotional videos, photo shoots, and/or any other promotional activities arranged by Exness may result in cancellation of the prize, and the Partner in such a case is obliged to return the prize to Exness.
     
12. Partner Loyalty Program prizes may vary depending on the Partner'scountry of residence. If a specific prize is unavailable, the Partner may be offered an alternative prize of equivalent value.
     
13. Without prejudice to Clause 11 above, the following prizes are available as part of the Partner Loyalty Program:

14. The Program concludes once the Partner collects all prizes displayed in
    the Partner’s personal area. Any additional rewards beyond the
    displayed prize structure shall be granted solely at Exness’s discretion
    and only where expressly agreed in writing with the Partner.
     
15. Where the cash alternative is available and the Partner opts to receive it
    instead of the prize, such cash alternative will be transferred to the
    Partner’s Wallet. Cash prizes and cash alternatives can be withdrawn at
    any time using any of the locally available withdrawal methods.
     
16. Should the prize issued to the Partner be of less value than the cash
    alternative listed above, no additional difference will be paid to the
    Partner.
    
     
17. All local taxes and delivery costs will form a part of the overall prize
    budget and, as such, the full (total) prize price should be within the
    maximum prize value listed above.
    
     
18. Any and all electronic products will be delivered in the original
    packaging via a courier service company to the nominated mailing
    address submitted by the Partner. The Partner agrees to comply with
    and be bound by all terms and conditions which the delivery of such
    prize may be subject to.
    
     
19. The dates and exact itinerary for all travel prizes will be discussed
    directly with the eligible Partner. Travel prizes should be used within
    twelve (12) months after being awarded to the eligible Partner. In the
    case this timeline is violated, Exness reserves the right to cancel the
    Prize.
    
     
20. Exness reserves the right to, at any time and without notice, substitute
    any prize with another prize of similar value and/or specification as
    determined by Exness. Prizes are given out on an “as it is” basis, and are
    not transferable, exchangeable, or redeemable for anything else. All
    warranties and representations concerning the prizes are expressly
    excluded to the extent not prohibited by law.
    
     
21. Exness and its associates and/or employees and/or affiliates take no
    responsibility for any product defects, damage, theft, delays, or loss in
    transit, once the prize has been paid for by Exness.
    
     
22. Exness processes personal information in order to conduct the Program
    and may, for this purpose, disclose such information to third parties,
    including, but not limited to, suppliers, travel agents, event organizers,
    and relevant regulatory authorities, upon request. Participation is
    conditional on providing this information. Exness may, unless otherwise
    advised, use and publish the information for promotion or marketing,
    including but not limited to email or telephone communication in the
    provided correspondence with the participants or the Prize receiver,
    whichever is the case. Partners should direct any request to access,
    update, or correct information upon Exness’ request. Exness has the
    right to use clients’ photographs and names for the purpose of
    announcing the prize recipient and other forms of publicity. For the
    avoidance of doubt, each Partner hereby expressly consents and grants
    permission to Exness to use his/her name and likeness for a list of all
    Partners and/or the announcement of the prize receiver and/or any
    other marketing communications, without remuneration and for
    reasons related to the Program.
     
23. Except for any liability that cannot be excluded by law, Exness (including
    its officers, employees, and agents) excludes all liability (including
    negligence), for any personal injury; or any loss or damage (including
    loss of opportunity); whether direct, indirect, special or consequential,
    arising in any way from the participation in the Program, including, but
    not limited to, where arising from the following: (a) any technical
    difficulties or equipment malfunction (whether or not under Exness’
    control); (b) any theft, unauthorized access or third party interference; (c) any entry or prize claim that is late, lost, altered, damaged or
    misdirected (whether or not after their receipt by Exness) due to any
    reason beyond the reasonable control of Exness; (d) any variation in
    prize value to that stated in these Terms and Conditions; (e) any tax
    liability incurred by the Partner; or (f) use of a prize including
    attendance at events included as part of the prize.
    
     
24. The Exness Partner Loyalty Program is set to run indefinitely. Exness
    reserves the right at its sole discretion to amend, suspend, cancel, or
    terminate the Program, or the prize(s) and these Terms and Conditions
    at any time, without bearing any responsibility or liability in this regard.
    Without prejudice to the foregoing, Exness retains the right to amend
    the terms of this Program by posting the updated version on any of its
    website(s) and/or on your personal area.
    
     
25. These Terms and Conditions are written in English, and any other language translation is provided for convenience only. In the event of any inconsistency or discrepancy between the English text and its translation in any other language, the English text shall prevail. Exness reserves the right to make the final decision on the interpretation of these Terms and Conditions.
